Licence Agreement

LICENCE AGREEMENT

THIS LICENCE is made the XXXX day of XXXXXX One thousand nine hundred and ninety XXXXX BETWEEN OFFICES4NOW LIMITED and RUNNYMEDE MALTHOUSE LIMITED (jointly) whose Registered Office is situated at Runnymede Malthouse Runnemede Road Egham in the County of Surrey (hereinafter call "the Company") of the one part and THE LICENSEE (as hereinafter Defined) of the other part
WHEREBY IT IS AGREED:-

(1) IN this Licence unless the context otherwise requires

(a) "the Licensee" shall mean the individual firm or company referred to in part 1 of the Schedule hereto and this definition shall include all directors for the time being of any limited company which is a licensee to this Agreement

(b) "Normal business hours" means the hours of 9 a.m. to 5.30 p.m. on Monday to Fridays other than Bank Holidays and other Public Holidays and any days between Boxing day and New Years day

(c) "The fee" shall mean the licence fee specified in part 3 of the Schedule hereto

(d) "Period" means the period of time specified in part 4 of the Schedule hereto

(e) "The Contents" shall mean such furniture office equipment and other effects as are set out in part 5 of the Schedule hereto which the Licensee shall be allowed to use (in common with the Company)

(f) "The deposit" shall mean the sum specified in part 6 of the Schedule hereto

(g) "The registration fee" shall mean the fee referred to in part 7 of the Schedule hereto

(h) "Motor vehicle" shall mean the number of motor vehicles in part 8 of the schedule hereto that the Licensee is allowed to park in the car park at the Company's premises

(2) The Licensee shall pay the fee for the period for the facilities and services hereinafter mentioned

(3) If the Company shall wish to increase the fee during the period it shall give the subscriber thirteen weeks notice (hereinafter called "the Notice") in writing of the amount of the increase and at the expiration of the said period of thirteen weeks the fee together with the said increase shall thereafter be paid by the Licensee provided always that the fee shall in the absence of the notice be increased in accordance with the Retail Price index or Home Sales Price Index (MM22) or such other index as shall be substituted but limited to a maximum of a 7.5% annual increase therefore during the period provided further that on receipt of the Notice the Licensee may serve a Counter Notice (hereinafter called "the Counter Notice") giving the Company thirteen weeks written notice of termination of this Licence


(4) DURING normal business hours the Licensee shall be entitled to make use of the following facilities and services provided by the Company within the Company's premises

(a) The non exclusive use of a room or unit for an office and for no other purposes in common with the Company including all costs incurred by the Company in the operating of the said premises (including but without prejudice to the generality of the foregoing the general rates (or all taxes or other sums in substitution therefore) water sewerage electricity and gas supplies lighting and refuse disposal) together with all cleaning and maintenance of the premises and the servicing and building insurance of the Company's fixtures and fittings

(b) Telephone equipment and reception (excluding call charges)

(c) Facsimile equipment and reception (excluding usage charges

(d) Photocopying equipment (excluding copy charges)

(e) Postal reception and delivery (excluding franking charges)

(f) Toilet facilities for male and female staff

(g) Access to and use of Conference Room, Word Processing facilities subject to the payment of the charges as detailed in the Company's current list of bureau Charges

(h) Drink Vending Machine (excluding coin operating charges)

(i) The parking of motor vehicles in the car park if so referred to in part 8 of the Schedule hereto


(5) ON the signing hereof the Licensee shall pay to the Company the deposit and the registration fee


(6) THE Licensee agrees that it will

(a) pay the fee and all invoices and accounts in accordance with the current tariff and submitted by the Company forthwith and until paid shall be a debt recoverable by action after seven days and after seven days such debt shall carry interest at the rate of 2% per month of any part thereof

(b) Take all necessary care of the Company's premises and of the contents and on demand shall pay the cost of any breakage's or damage or any other loss in respect thereof whenever and however caused by the Licensee its agents employees or persons under its control

(c) Permit the Company or its servants or agents to enter upon the Company's premises to enable inspection cleaning or repairing of the said premises and for all other proper purposes

(d) To reimburse the Company immediately for all sums of money expended by the Company under this Agreement and any monies due to the Company shall be payable on demand by the subscriber to the Company and recoverable by action and after seven days from demand shall carry interest at the rate of 2% per month or any part thereof

(e) To observe and perform all rules and regulations which the Company may make for the management of the Company's premises provided that no such rules or regulations shall require payment by the Licensee of any monies other than such sums as are specifically mentioned herein

(f) Not affix any placard nameplate or other notice to any part of the Company's premises

(g) Not to permit or allow on the Company's premises any noxious harmful deteriorating dangerous materials which shall be construed by the Company as illegal immoral obscene or defamatory or do anything which shall cause a nuisance or annoyance to any other persons upon the Company's premises or invalidate the insurance cover of the building or do or omit to be done anything which may increase the premium of any insurance

(h) Not to remove or permit to be removed any of the contents from the Company's premises

(i) Not install or permit to be installed any furniture or equipment other than typewriters calculators and like desk equipment without the previous written consent of the Company which consent shall not be unreasonably withheld

(j) Not permit any person to sleep within the Company's premises or to use or purport to use the same as a residence

(k) Indemnify the Company against all expenses costs claims demands of penalties incurred by the Company in connection with this Agreement including any damage caused to the Company's premises or to any other property of the Company or the property of other licensees which may occur as a result of the Licensee's use of the Company's premises or any person acting on behalf or for the Licensee


(7) IT IS EXPRESSLY AGREED AND DECLARED as follows:-

(a) The Licensee has no right to be supplied with any specific room or to occupy any room exclusively and the Company reserves the right to ask the Licensee to move to any other at least equivalent room within the Company's premises on reasonable request and upon such terms as the Company may specify

(b) If the Licensee has the occupation of a room it is non exclusive and is by way of licence only and nothing herein shall be deemed to create the relationship of landlord and tenant or afford the Licensee any protection from eviction


(8) THE deposit shall be held as surety for the performance of the licensee's obligations hereunder and shall be retained after termination of the Agreement until all bills accounts and liabilities of the Licensee to the Company have been discharged whereafter the balance (if any) shall be returned to the Licensee


(9) THIS Licence may be terminated

(a) By the Company forthwith if at any time during the continuance thereof the Licensee shall

(i) Have refused or neglected to pay any sums due hereunder within fourteen days or its falling due or
(ii) Have failed or neglected to observe and perform any agreement duty or obligation on its part herein contained

and

(b) Upon such termination all rights of the Licensee hereunder shall cease and the Licensee shall forthwith remove all its property and leave the Company's premises in a clean and tidy state
and

(c) The Licensee shall pay to the Company such sum as representing thirteen weeks fee in lieu of notice by reason of the breach of the terms of this Licence


(10) THIS Licence may be determined

(a) By the Company giving to the Licensee thirteen weeks notice in writing

(b) By the Licensee giving to the Company thirteen weeks notice in writing


(11) IN the event of any property belonging to the Licensee being left at the Company's premises for a period of one month after the termination of the services then the Company may upon fourteen days written notice to the Licensee at its last known address sell such property and account to the Licensee for the proceeds after deducting the cost of sale and any sums due from the subscriber to the Company by virtue of any or all of these conditions and in the event that the Company shall be unable to sell such items it shall have the right to destroy or otherwise dispose of the same as it shall think fit and for the purpose of this clause the Licensee vests the title to all such property in the Company and further the Company may charge to the Licensee the cost of the removal of such property from the Company's premises


(12) THE Company shall be entitled to an absolute lien on the Licensee's goods chattels letters or other objects for all sums owed by the Licensee to the Company


(13) ANY chattels letters or other objects of the subscriber brought stored or delivered or sent to the Company's premises shall be at the subscriber's own risk


(14) ANY notice required to be given by the Company shall be given by Recorded Delivery post to the address stated in the Schedule hereto by the Licensee and shall be deemed to have been received by the Licensee two days after the date of posting


(15) THE Licensee shall be responsible for insurance of their own property which may at any time be on the Company's premises


(16) (a) IT IS HEREBY AGREED AND DECLARED that the Company shall not be liable to the Licensee in respect of paragraph 4 (a) for any failure or interruption to any of the facilities and services by reason of necessary repair replacement maintenance of any installations or apparatus or their damage or destruction or by reason of mechanical or other defect or breakdown or forced or other inclement conditions or shortage of fuel materials water or labour or any other cause beyond the company's control PROVIDED THAT the Company uses and continues to use its reasonable endeavors to restore the said facilities and services in question
(b) Any act omission or negligence of any servant agent or employee undertaking the provision of the said facilities and services or any of them on behalf of the Company


(17) UPON the determination and or termination of the Licence the Licensee will subscribe to the Non-Resident facility as described in the Company's literature for a minimum of three months at the prevailing cost as at that time in order to cover the Company for its obligation to forward any mail addressed to the Licensee at the Company's premises or to answer or pass on any telephone telex or facsimile messages made to the Company's premises for the Licensee


IN WITNESS whereof the person specified in part 9 of the Schedule hereto have hereunto set their hands is the day and year first before mentioned
